The legally binding agreement between you and Dead Reckoner LLC governing your access to and use of the Dead Reckoner mobile application, website, and related services.
Acceptance of Terms
These Terms of Service ("Terms") are a legally binding agreement between you and Dead Reckoner LLC ("Dead Reckoner," "we," "us," or "our") governing your access to and use of the Dead Reckoner mobile application, website, and related services (collectively, the "Service").
By accessing or using the Service, creating an account, downloading the app, starting a subscription, or clicking to accept these Terms, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
You must be at least 18 years old and legally capable of entering into these Terms to use the Service. By using the Service, you represent that you meet those requirements.
Description of the Service
Dead Reckoner is a goal execution and accountability platform. The Service may help users define goals, generate roadmaps, break plans into tasks and habits, track progress, invite accountability partners called Anchors, exchange messages, receive reminders, and manage subscriptions.
We may add, remove, modify, suspend, or discontinue features at any time. We do not guarantee that any future, beta, preview, or "coming soon" feature will be released or remain available.
Accounts and Security
You may need an account to use the Service. You agree to provide accurate, current, and complete account information and to keep that information updated.
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly at info@deadreckoner.io if you suspect unauthorized access or security issues.
You may not create accounts using false information, impersonate another person, transfer your account without permission, or create a new account after we disable your account unless we authorize it.
Privacy Policy
Your use of the Service is also governed by our Privacy Policy, available at https://www.deadreckoner.io/privacy. The Privacy Policy explains how we collect, use, share, retain, and protect information.
User Content
The Service may allow you to create, upload, submit, send, store, or share goals, roadmaps, habits, tasks, notes, messages, progress updates, profile information, reports, feedback, and other content ("User Content"). You retain ownership of your User Content.
You grant Dead Reckoner a limited, worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, display, transmit, and use your User Content as reasonably necessary to provide, operate, secure, support, improve, and develop the Service, including AI-assisted features and Anchor-related features. This license includes the right to display User Content to you and to other users you choose to interact with, such as Anchors.
You represent that you have the rights needed to submit your User Content and that your User Content and use of the Service do not violate these Terms, applicable law, or the rights of others.
Anchor and Accountability Features
Dead Reckoner may allow you to invite or accept Anchors. Anchors are accountability partners who may see certain goals, roadmaps, habits, tasks, check-ins, completion status, missed tasks, messages, and progress information that you choose to share through the Service.
You are responsible for choosing Anchors you trust. Removing, blocking, or reporting an Anchor may limit future interaction, but it cannot undo information already viewed, copied, screenshotted, or received by that Anchor.
Anchors are not employees, agents, coaches, therapists, medical providers, financial advisors, legal advisors, or representatives of Dead Reckoner. We are not responsible for advice, messages, pressure, encouragement, criticism, or other conduct by Anchors or other users.
Messaging, Reports, and Moderation
The Service may include messaging, replies, reactions, nudges, reports, and other user-to-user communication features. You agree to use these features respectfully and lawfully.
We may provide tools to block users, remove Anchors, report messages or users, and contact support. We may review reported content, restrict accounts, remove content, disable features, or take other action when we believe it is necessary to protect users, enforce these Terms, comply with law, or protect the Service.
We do not guarantee that we will monitor all content or resolve every dispute between users. You are responsible for your interactions with other users.
Prohibited Conduct
You agree not to use the Service to:
- Violate any law, regulation, contract, or third-party right.
- Harass, threaten, abuse, intimidate, exploit, shame, or otherwise harm another person.
- Submit content that is illegal, defamatory, invasive of privacy, obscene, hateful, discriminatory, sexually explicit, exploitative, violent, fraudulent, or otherwise objectionable.
- Promote self-harm, suicide, eating disorders, violence, illegal activity, or dangerous conduct.
- Impersonate any person or entity or misrepresent your identity or affiliation.
- Collect, scrape, harvest, or misuse information from the Service or other users.
- Attempt to gain unauthorized access to the Service, accounts, systems, or data.
- Interfere with, disrupt, overload, reverse engineer, copy, modify, or create derivative works from the Service except as allowed by law.
- Upload malware, viruses, harmful code, automated scripts, bots, or other malicious tools.
- Use the Service to build, train, or improve a competing product or model without our written permission.
- Use the Service in any way that could damage Dead Reckoner, other users, or the integrity of the Service.
AI Features and No Professional Advice
The Service may use artificial intelligence to generate goals, roadmaps, tasks, habits, recommendations, summaries, messages, or other content. AI-generated outputs may be inaccurate, incomplete, outdated, biased, inappropriate, or unsuitable for your circumstances.
Dead Reckoner does not provide medical, mental health, fitness, legal, financial, tax, career, safety, emergency, or other professional advice. The Service is not a substitute for professional judgment, professional services, therapy, coaching, medical treatment, legal counsel, financial advice, or emergency support.
You are responsible for reviewing AI-generated content and deciding whether and how to act on it. Do not rely on the Service for urgent, emergency, life-threatening, or high-risk decisions. If you are in danger, experiencing a medical emergency, or considering self-harm, contact emergency services or a qualified crisis resource immediately.
Subscriptions, Billing, and Paid Features
Dead Reckoner may offer paid subscriptions, founding member access, trials, promotions, or other paid features. Specific price, billing period, renewal terms, included features, and trial terms will be shown at the time of purchase.
Mobile app subscriptions are processed through Apple App Store or Google Play. Your purchase is also subject to the applicable app store's terms, billing rules, refund rules, cancellation process, and subscription management tools.
Subscriptions may automatically renew unless canceled before the end of the current billing period. You are responsible for managing and canceling subscriptions through the applicable app store account settings. We cannot cancel an Apple or Google subscription for you inside our own billing system.
If your subscription expires or is canceled, you may lose access to paid features after the paid period ends. We may retain your account data, including roadmaps, archived roadmaps, habits, tasks, progress history, Anchor connections, and messages, so that it may become available again if you resubscribe using the same account, unless you delete your account or we delete the data under our policies.
The app may provide a Restore Purchases option to reconnect a valid app store subscription to your Dead Reckoner account. Restore Purchases restores paid access when a valid entitlement exists. It does not create a new subscription and does not reverse account deletion.
Refunds, if any, are handled according to Apple, Google, or other applicable payment provider policies, except where otherwise required by law.
Account Deletion and Subscription Cancellation
You may request deletion of your Dead Reckoner account through the in-app account deletion flow or through our web deletion page at https://www.deadreckoner.io/account-deletion. You may also contact us at info@deadreckoner.io.
Deleting your Dead Reckoner account does not automatically cancel an active Apple App Store or Google Play subscription. You should cancel your subscription through the applicable app store before deleting your account if you do not want future renewal charges.
Account deletion may permanently remove goals, roadmaps, habits, tasks, progress history, Anchor connections, messages, and other account content from active systems, subject to legal, security, backup, dispute, and transaction retention requirements described in the Privacy Policy.
Intellectual Property
The Service, including software, design, text, graphics, logos, icons, trademarks, trade names, product names, features, interfaces, content, and other materials, is owned by Dead Reckoner or its licensors and is protected by intellectual property laws.
Except for the limited right to use the Service as provided in these Terms, you do not receive any ownership interest or license in our intellectual property. You may not copy, reproduce, modify, distribute, sell, lease, reverse engineer, or create derivative works from the Service except as expressly permitted by us or applicable law.
Dead Reckoner and the Dead Reckoner logo are proprietary marks of Dead Reckoner LLC. Unauthorized use is prohibited.
Feedback
If you send us ideas, suggestions, feedback, bug reports, feature requests, or other recommendations, you grant us the right to use them without restriction, compensation, or obligation to you. Feedback does not include your private User Content except to the extent necessary to evaluate or respond to the feedback you submitted.
Copyright and Intellectual Property Complaints
If you believe content on the Service infringes your copyright or other intellectual property rights, contact us at info@deadreckoner.io with enough information for us to evaluate the claim, including identification of the work, the allegedly infringing material, your contact information, and a statement that you are authorized to act.
Third-Party Services
The Service may contain links or integrations with third-party services, including app stores, authentication providers, analytics tools, AI providers, hosting providers, customer support tools, and websites. We do not control third-party services and are not responsible for their content, policies, availability, or practices.
Changes to the Service or Terms
We may update the Service and these Terms from time to time. If we make material changes to these Terms, we may provide notice by updating the date above, posting a notice, sending an email, or providing an in-app notice. Your continued use of the Service after changes become effective means you accept the updated Terms.
Termination and Suspension
You may stop using the Service at any time. We may suspend, restrict, or terminate your access to the Service or any feature if we believe you violated these Terms, created risk, caused harm, failed to pay, used the Service unlawfully, or if we need to protect the Service, other users, or Dead Reckoner.
Upon termination, your right to use the Service ends immediately. Sections that by their nature should survive termination will survive, including ownership, user content license, payment obligations, disclaimers, limitation of liability, indemnity, dispute resolution, and general terms.
Disclaimers
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEAD RECKONER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, RELIABILITY, AND SECURITY.
We do not warrant that the Service will be uninterrupted, error-free, secure, accurate, complete, suitable for your goals, or that any defects will be corrected. You use the Service at your own discretion and risk.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEAD RECKONER LLC AND ITS AFFILIATES, MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, REPUTATIONAL HARM, OR LOSS ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO DEAD RECKONER FOR THE SERVICE IN THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Nothing in these Terms limits liability for death or personal injury caused by negligence, gross negligence, willful misconduct, fraud, or any liability that cannot be excluded or limited under applicable law.
Some jurisdictions do not allow certain disclaimers or liability limitations, so some limitations may not apply to you.
Indemnification
You agree to defend, indemnify, and hold harmless Dead Reckoner LLC and its affiliates, members, officers, employees, contractors, agents, licensors, and service providers from and against claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or related to your User Content, your use of the Service, your violation of these Terms, your violation of law, or your violation of another person's rights.
Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law rules, except where the laws of your jurisdiction require otherwise for consumer protection purposes.
Dispute Resolution, Arbitration, and Class Action Waiver
Before filing a claim, you agree to first contact us at info@deadreckoner.io and attempt to resolve the dispute informally. If we cannot resolve the dispute within 30 days after we receive the notice, any dispute arising out of or relating to these Terms or the Service will be resolved by final and binding arbitration administered by the American Arbitration Association under its applicable consumer or commercial rules, as applicable, unless applicable law prohibits arbitration of that dispute.
The legal seat of arbitration will be Delaware. Unless the parties agree otherwise or applicable law or the applicable AAA rules require otherwise, any in-person arbitration hearing will take place in Wilmington, Delaware. The arbitrator may allow proceedings by video conference, telephone, or written submissions.
You may opt out of this arbitration agreement by emailing info@deadreckoner.io within 30 days after you first accept these Terms. Your opt-out email must include your name, the email address associated with your account, and a clear statement that you want to opt out of arbitration. Opting out of arbitration does not affect any other part of these Terms.
You and Dead Reckoner waive the right to a jury trial and agree to bring claims only in an individual capacity, not as a plaintiff, class member, private attorney general, or representative in any class, collective, consolidated, or representative proceeding.
This section does not prevent either party from seeking relief in small claims court where permitted or seeking injunctive or equitable relief to protect intellectual property, confidential information, security, or unauthorized use of the Service.
App Store Terms
If you download the app through Apple App Store or Google Play, the applicable app store terms also apply. To the extent these Terms conflict with applicable app store terms, the app store terms control only for your use of the app through that app store.
Apple-Specific Terms. If you download or use the Dead Reckoner app through the Apple App Store, the app is a "Licensed Application" under Apple's terms, and the following additional terms apply:
(a) These Terms are between you and Dead Reckoner only, and not with Apple. Dead Reckoner, not Apple, is solely responsible for the app and its content.
(b) Your license to use the app is limited to a non-transferable license to use the app on Apple-branded products that you own or control and as permitted by the Apple Media Services Terms and Conditions and Usage Rules, including Family Sharing, volume purchasing, or Legacy Contacts where applicable.
(c) Dead Reckoner is solely responsible for maintenance and support for the app as stated in these Terms or required by law. Apple has no obligation to provide maintenance or support for the app.
(d) If the app fails to conform to any applicable warranty that has not been effectively disclaimed, you may notify Apple, and Apple may refund the purchase price for the app, if any. To the maximum extent permitted by law, Apple has no other warranty obligation for the app, and Dead Reckoner is responsible for any other warranty claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty.
(e) Dead Reckoner, not Apple, is responsible for addressing claims by you or third parties relating to the app or your possession or use of the app, including product liability claims, legal or regulatory compliance claims, and consumer protection, privacy, or similar claims.
(f) If a third party claims the app or your possession or use of the app infringes that third party's intellectual property rights, Dead Reckoner, not Apple, is solely responsible for the investigation, defense, settlement, and discharge of that claim.
(g) You represent and warrant that you are not located in a country subject to a U.S. Government embargo or designated by the U.S. Government as a terrorist-supporting country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
(h) You must comply with applicable third-party terms when using the app, including any applicable wireless data service agreement.
(i) Apple and Apple's subsidiaries are third-party beneficiaries of these Terms. After you accept these Terms, Apple may enforce them against you as a third-party beneficiary.
Assignment
You may not assign or transfer these Terms or your account without our prior written consent. We may assign or transfer these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, operation of law, or similar transaction.
Severability and Waiver
If any provision of these Terms is found unenforceable, that provision will be interpreted or modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in effect. Our failure to enforce any provision is not a waiver of our right to enforce it later.
Entire Agreement
These Terms, the Privacy Policy, and any additional terms presented in the Service constitute the entire agreement between you and Dead Reckoner regarding the Service and supersede prior or contemporaneous agreements on the same subject.
