Dead Reckoner is a goal achievement platform that helps users transform their ambitions into actionable daily plans. This website provides information about our services and allows users to sign up for access to the Dead Reckoner application. We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Service.

DEAD RECKONER LLC DOES NOT WARRANT THAT (i) THE SERVICE WILL MEET YOUR REQUIREMENTS, (ii) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (iii) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE, OR (iv) ANY ERRORS IN THE SERVICE WILL BE CORRECTED.

ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICE IS DONE AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEAD RECKONER LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, RESULTING FROM YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICE OR ANY CONTENT PROVIDED ON OR THROUGH THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IF YOU PAY FOR THE SERVICE, OUR LIABILITY SHALL NOT EXCEED THE AMOUNTS ACTUALLY PAID BY YOU TO DEAD RECKONER LLC IN THE SIX MONTHS PRECEDING THE CLAIM. IF YOU PAY NOTHING, YOUR SOLE REMEDY IS TO STOP USING THE SERVICE.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

12. Indemnification

You agree to defend, indemnify, and hold harmless Dead Reckoner LLC, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms

  • Your User Content

  • Your use of the Service

  • Your violation of any rights of another

  • Your violation of any applicable laws, rules, or regulations

13. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or contact us at info@deadreckoner.io.

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Service shall be resolved through final and binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The language of arbitration shall be English. You agree to waive any right to a jury trial or to participate in a class action.

Notwithstanding the foregoing, nothing in these Terms will prevent either party from seeking injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property rights.

15. Modifications to Terms

We reserve the right to modify these Terms of Service at any time. We will provide notice of significant changes by updating the "Last Updated" date at the top of this page. Your continued use of the Service after such modifications constitutes your acceptance of the revised terms.

It is your responsibility to review these Terms periodically for changes. If you do not agree to the modified terms, you should discontinue your use of the Service.

16. Severability and Waiver

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

The failure of Dead Reckoner LLC to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

These Terms, together with the Privacy Policy and any other legal notices published by Dead Reckoner LLC on the Service, shall constitute the entire agreement between you and Dead Reckoner LLC concerning the Service.

These Terms supersede and replace any prior agreements or understandings, whether written or oral, between you and Dead Reckoner LLC regarding the Service.
